The Board of Directors of Vanzo (the “Board”) wishes to announce that the Company had on 26 June 2025 entered into a Shareholders’ Agreement (“Agreement”) with non-related parties, Mr. Duong Tien Dung and Vanzo Viet Nam Company Limited (“VVCL”) (collectively, the “Parties”). The Agreement sets out the Parties’ mutual commitments and governs their respective rights and obligations as shareholders of VVCL in connection with the proposed equity contribution by Vanzo (“the Proposed Contribution”). Pursuant to the Agreement, Vanzo will be recorded as a new capital-contributing member of VVCL through a cash contribution of USD35,000.00 (United State Dollar Thirty-Five Thousand Only), representing 70% of the total Charter Capital of VVCL, approximately RM150,500.00 (Ringgit Malaysia One Hundred Fifty Thousand and Five Hundred only) (“Contribution Amount”).
