Reference is made to the announcement dated 2 May 2024 in relation to the proposed disposal of 100% equity interest in Ikram Education Sdn Bhd by Kumpulan Ikram Sdn Bhd to Star Teenagers International Group Limited. The Purchaser has been changed from Star Teenagers International Group Limited to Star Teenagers International Sdn Bhd.

Following the above, the Board of Directors of Protasco Berhad (“Board”) wishes to announce that Kumpulan Ikram Sdn Bhd (“KISB” or “the Vendor”), a wholly owned subsidiary of Protasco, had on 19 July 2024 entered into a Share Sale Agreement (“SSA”) with Star Teenagers International Sdn Bhd (“STISB” or “the Purchaser”) to dispose of 20,000,000 of its ordinary shares in Ikram Education Sdn Bhd (“IESB” or “the Company”) (“Sale Shares”), representing 100% equity interest in the Company, for a total cash consideration of RM30,000,000.00 (“Purchase Price”) in the manner as set out in the SSA (“Proposed Disposal”).
