Unless stated otherwise, the terms used herein shall carry the same meaning as those defined in the earlier announcements in relation to the Proposals.

We refer to the earlier announcements dated 11 March 2021 and 17 March 2021 in relation to the Proposals.

On behalf of the Board, UOBKH wishes to announce that Bursa Securities had, vide its letter dated 28 April 2021, approved the listing and quotation of:-

i. up to 789,172,978 new KAG Shares to be issued pursuant to the Proposed Private Placement; and

ii. 200,000,000 new KAG Shares to be issued pursuant to the Proposed Acquisition.

The approval granted by Bursa Securities for the Proposed Private Placement and Proposed Acquisition is subject to the following conditions:-

i. KAG and UOBKH must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposed Private Placement and Proposed Acquisition;

ii. KAG and UOBKH to inform Bursa Securities upon the completion of the Proposed Private Placement and Proposed Acquisition;

iii. KAG to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities' approval once the Proposed Private Placement and Proposed Acquisition are completed; and

iv. Compliance by KAG with the public shareholding spread upon completion of the Proposed Acquisition. In this connection, UOBKH is to furnish a schedule containing the information set out in Appendix 8E, Chapter 8 of the Listing Requirements to Bursa Securities, prior to completion of the Proposed Acquisition respectively.
