On behalf of the Board of Directors of HGB ("Board"), Malacca Securities Sdn Bhd ("Malacca Securities") wishes to announce that the Company proposes to undertake the following proposals:
(i) proposed diversification of the existing business of HGB and its subsidiaries ("HGB Group" or "Group") to include property development, construction, property investment and management business pursuant to Paragraph 10.13 of the Main Market Listing Requirements ("MMLR") ("Proposed Diversification"); and
(ii) proposed joint venture between Hextar Landmark Sdn Bhd ("Hextar Landmark") and Kotaputeri Development Sdn Bhd ("KDSB"), through a joint venture company, namely Hextar Siera Sdn Bhd ("Hextar Siera") ("JV Co"), to undertake a mixed-use development project ("Proposed Joint Venture").
