RENOUNCEABLE RIGHTS ISSUE OF 257,400,600 NEW units IN AmFIRST reit (“RIGHTS units”) on the basis of THREE (3) rights units for every FIVE (5) existing units IN amfirst reit
We refer to the announcements dated 10 August 2011, 8 November 2011, 8 March 2012, 13 March 2012, 3 April 2012, 6 April 2012 and 30 April 2012 respectively in relation to, amongst others, the Rights Issue (collectively referred to as the “EarlierAnnouncements”) and the Circular to the Unitholders dated 9 April 2012 (“Circular”). Unless otherwise stated, all definitions used in this announcement shall carry the same meaning as defined in the Earlier Announcements and Circular.
On behalf of the Board, AmInvestment Bank wishes to announce the following:-
(i) the issue price of the Rights Units has been fixed at RM0.83 per Rights Unit. The issue price of RM0.83 per Rights Unit represents a discount of approximately 19.88% to the TERP of the Units of RM1.036, calculated based on the five (5)-day VWAP of the Units traded on Bursa Securities up to and including 21 June 2012, being the last trading date immediately preceding the Price-Fixing Date, of RM1.160.
(ii) Am ARA and Maybank Trustees Berhad have, on 22 June 2012, entered into an underwriting agreement with AmInvestment Bank, for the underwriting of 153,061,917 Rights Units, being the remaining Rights Units not covered by the Unitholders’ Undertakings.
