The Board of Directors of the Company (“Board”) wishes to announce that Greencove Sdn. Bhd. (Registration No. 202101018356 (1418656-K)) (“Greencove” or the “Purchaser”), a wholly-owned subsidiary of the Company, has on 27 August 2021, entered into a Sale and Purchase Agreement (“SPA”) with Prousaha (M) Sdn. Bhd. (Registration No. 199001016737 (208406-V)) (“Prousaha” or the “Vendor”), a wholly-owned subsidiary of Asian Pac Holdings Berhad (Registration No. 191301000011 (129-T)) (“Asian Pac”), to purchase all that parcel of leasehold land held under Pajakan Negeri No. Hakmilik 113068, Lot 87285, Mukim Sungai Buloh, District of Petaling and State of Selangor (“Land”) for a purchase price of RM42,000,000 (“Purchase Price”), (hereinafter referred to as the “Proposed Acquisition”).
