(2)	ENTRY INTO A HEADS OF AGREEMENT WITH RAILWAY ASSETS CORPORATION ("HOA")

EXTENSION OF AGREEMENT PERIOD IN RELATION TO HOA

(Reference is made to the announcement dated 11 November 2024, 16 January 2025, 10 March 2025, 25 March 2025, 25 April 2025, 29 May 2025, 29 August 2025 and 3 March 2026 in relation to the entry into HOA by Rivanis Ventures Sdn. Bhd., a subsidiary company of KPGB with Perbadanan Aset Keretapi (Railway Assets Corporation) ("Announcements"). Unless otherwise defined in this announcement, all terms used herein shall have the same meaning as those defined in the Announcements.)

 

Further to the Announcements, the Board of Directors wishes to announce that RVSB and RAC have on 30 April 2026 mutually agreed to extend the Agreement Period for the execution of the Definitive Agreement until 31 May 2026, as the Parties require more time for RVSB to deliberate on the viability of the Project, as well as for RAC to obtain the necessary consent from the relevant authorities in respect of the finalised Definitive Agreement.

 

Save for the above, all other terms and conditions as stipulated in the HOA shall remain in full force and effect.

 

The Company will make further announcement(s) to keep shareholders and potential investors informed, as and when there are further updates pertaining to the above matter, or, if there are any material developments.
