(1)	ENTRY INTO JOINT VENTURE CUM SHAREHOLDERS' AGREEMENT BY FUTUPROP SDN. BHD.

(2)	ENTRY INTO A HEADS OF AGREEMENT WITH RAILWAY ASSETS CORPORATION ("HOA")

EXTENSION OF AGREEMENT PERIOD IN RELATION TO HOA

(Reference is made to the announcement dated 11 November 2024, 16 January 2025, 10 March 2025, 25 March 2025, 25 April 2025, 29 May 2025 and 29 August 2025 in relation to the entry into HOA by Rivanis Ventures Sdn. Bhd., a subsidiary company of KPGB with Perbadanan Aset Keretapi (Railway Assets Corporation) (“Announcements”). Unless otherwise defined in this announcement, all terms used herein shall have the same meaning as those defined in the Announcements.)

 

Further to the Announcements, the Board of Directors wishes to announce that RVSB and RAC have on 3 March 2026 mutually agreed to extend the Agreement Period to execute the Definitive Agreement on or before 30 April 2026, to allow more time for the parties to finalise the Definitive Agreement and its relevant appendices, and to enable RAC to obtain the approval from its board of directors in respect of the execution of the finalised Definitive Agreement and related transaction documents.

 

Save for the above, all other terms and conditions as stipulated in the HOA shall remain in full force and effect.

 

The Company will make further announcement(s) to keep shareholders and potential investors informed, as and when there are further updates pertaining to the above matter, or, if there are any material developments.
