(Reference is made to the announcements dated 1 July 2025, 4 July 2025 and 23 January 2026 in relation to the entry into a conditional Joint Venture Agreement (“JVA”) and a conditional Share Subscription and Shareholders’ Agreement (“SSHA”) by Kerjaya Prospek Ventures Sdn. Bhd. (“KPV”) with Aspen Vision Tanjung Sdn. Bhd. (“AVT”) (“Announcements”). Unless otherwise defined in this announcement, all terms used herein shall have the same meaning as those defined in the Announcements.)

The Board of Directors wishes to announce that the Parties have on 27 February 2026, confirmed that all applicable Conditions Precedent to the JVA and SSHA have been fulfilled. Accordingly, the JVA and SSHA have become unconditional and the Parties will proceed with the Joint Venture pursuant to the JVA and SSHA.
