Unless stated otherwise, definitions used in this announcement shall carry the same meanings as defined in the previous announcement dated 26 May 2023 (“Announcement”). Further to the Announcement made by the Company in relation to the voluntary dissolution of SAPGeo, a 42%-owned joint venture company of Aneka Jaringan Sdn Bhd (a wholly-owned subsidiary of Aneka), the Company wishes to announce that on 12 September 2025, the Securities and Exchange Commission Philippines has approved the voluntary dissolution of SAPGeo through an amendment to its Articles of Incorporation, which shortened its corporate term of existence to 14 February 2023. Accordingly, SAPGeo is dissolved. The dissolution of SAPGeo will not have any impact on the earnings per share, net assets per share and gearing of the Group and will have no effect on the share capital and substantial shareholders’ shareholding of the Group. This announcement is dated 11 December 2025. |
