ZEN TECH INTERNATIONAL BERHAD ("ZEN TECH" OR THE "COMPANY")
- PROPOSED SWAP OF 40% DIRECT EQUITY INTEREST IN ALPHA FINTECH SDN. BHD. ("ALPHA"), A 70% OWNED SUBSIDIARY OF THE COMPANY, FOR 40% DIRECT EQUITY INTEREST IN HIASSET GROUP SDN. BHD. ("HIASSET") ("PROPOSED SHARE SWAP")

The Board of Directors ("Board") of the Company wishes to announce that the Company had on 2 July 2025 entered into the Shares Swap Agreement with Lee Kang Aik (“SSA”) to undertake the Proposed Share Swap by way of concurrently transferring to the counterparty the number of ordinary shares as follow:

  1. Zen Tech shall transfer 2,380,000 ordinary shares, representing 40% of the total issued and paid up capital of Alpha, legally and beneficially owned by Zen Tech (“Alpha Shares”); and
  2. Lee Kang Aik (“LKA”) shall transfer 2,000,000 ordinary shares of Hiasset, representing 40% of the total issued and paid up capital of Hiasset, legally and beneficially owned by LKA (“Hiasset Shares”).
