Unless otherwise defined in this announcement, all terms used herein shall have the same meaning as those defined in the previous announcements in relation to the Special Issue.
On behalf of the Board, M&A Securities wishes to announce that the SC had, vide its letter dated 27 March 2025 stated that the Company is deemed to have complied with the Bumiputera Equity Requirement after taking note of the following:
(a) On 16 January 2025, Zantat fixed the issue price of the Special Issue Shares at RM0.335 each, representing a discount of approximately RM0.0008 or 0.24% from the 5-day weighted average market price of Zantat Shares from 9 January 2025 to 15 January 2025 of approximately RM0.3358 per share;
(b) On 17 January 2025, MITI provided the list of allocation comprising 185 Bumiputera investors for 40,000,000 Special Issue Shares to M&A Securities;
(c) As at 31 January 2025, a total payment for 4,753,400 Special Issue Shares amounting to RM1,592,389 were received from 118 Bumiputera investors. This represents an acceptance of 11.9% of the total 40,000,000 Special Issue Shares offered;
(d) On 3 February 2025, M&A Securities informed MITI of the acceptance rate and sought MITI’s concurrence that the allocation of Special Issue Shares is deemed to comply with the Bumiputera Equity Requirement; and
(e) MITI had, vide their letter on 6 February 2025, informed that they had exhausted all avenues in assisting Zantat to fulfill the 12.5% Bumiputera Equity Requirement.
As such, the Special Issue is deemed completed.
