Pursuant to Rule 10.05 of the ACE Market Listing Requirements of Bursa Malaysia Securities Berhad (“LR”), the Board of Directors of Vinvest Capital Holdings Berhad (“Vinvest” or the “Company”) wishes to announce that Neata Aluminium (Malaysia) Sdn. Bhd. (Registration No. 19890100863 (188165-T))(“NASB” or the “Vendor”), a 78.6%-owned subsidiary company of the Company had on 6 November 2025 entered into a Sale and Purchase Agreement (“SPA”) with Tan Seh Ka (NRIC No. 480730-71-5039) (hereinafter referred to as the “Purchaser”), to dispose of two million (2,000,000) ordinary shares in Vivocom Enterprise Sdn. Bhd. (Registration No.201201022521 (1007013-X)) (“VESB”), representing 100% of the equity interest in VESB, at a sale consideration of Ringgit Malaysia Fifty Thousand (RM50,000.00) only (“Sale Consideration”) (hereinafter referred to as the “Disposal”).

The Board wishes to announce that NASB and Tan Seh Ka had on 6 November 2025 entered into a share purchase agreement (“SSA”) for the Disposal.
