We refer to our announcements dated 21 March 2019 and 15 April 2019 in respect of the Perpetual Note Programme undertaken by SUNREIT Perpetual Bond Berhad (“Issuer”), a special purpose vehicle whose shares are held by RHB Trustees Berhad (as trustee for Sunway REIT).

The Board of Directors of Sunway REIT Management Sdn Bhd, being the manager of Sunway REIT, wishes to announce that the Issuer had appointed HSBC Bank Malaysia Berhad and Kenanga Investment Bank Berhad, as the Joint Principal Advisers and Joint Lead Arrangers for the Perpetual Note Programme, to advise the Issuer on the following key revisions:

1. allow for appointment of lead manager(s) by the Issuer from time to time;
2. include the flexibility to issue sustainability, sustainability-linked, social and/or green perpetual notes under the Perpetual Note Programme; and
3. make all necessary consequential amendments to the principal terms and conditions of the Perpetual Note Programme and any other relevant Transaction Documents,

(collectively, the “Revision of Terms”).

The Issuer had, on 18 July 2024 lodged the required information and relevant documents relating to the Revision of Terms with the Securities Commission Malaysia pursuant to the prevailing Guidelines on Unlisted Capital Market Products Under the Lodge and Launch Framework. The Revision of Terms is effective on 15 July 2024, being the date of the supplemental transaction documents for the Revision of Terms.
