Further to the Company’s announcement dated 31 December 2024 in relation to the termination of the Conditional Share Sale Agreement dated 12 December 2023 entered into with Perdanis Distribution (M) Sdn. Bhd. (“PDMSB”), pursuant to which PDMSB was required to repurchase 4,142,418 ordinary shares, representing a 20.0% equity interest in Redina Malaysia Sdn. Bhd. (“RMSB”) (“Tranche 1 Sale Shares”), from the Company for a purchase consideration of RM14,000,000.00 within 24 months from the date of the Company’s written termination notice, the Board of Directors (“Board”) wishes to announce that the Company has since identified new purchasers for the Tranche 1 Sale Shares.

In this regard, the Company has entered into a new Share Sale Agreement dated 22 December 2025 with Xeno Realty Sdn. Bhd. (“XRSB”) and Hijauwan Sdn. Bhd. (“HSB”) (collectively, the “Purchasers”), together with PDMSB (“SSA”), for the disposal of the Tranche 1 Sale Shares for a total consideration of RM14,000,000.00 (“Consideration”) (“Proposed Disposal”).
