(Unless otherwise stated, definitions used in this announcement shall carry the same meanings as defined in the announcement dated 7 July 2025)

Reference is made to the Company's announcement made on 7 July 2025 in relation to the Proposed Expansion into Motorcycle Financing via Acquisition of 100% equity in Wilayah Credit by OSKRC, a wholly-owned subsidiary of the Company.

The Board of Directors of OSK wishes to announce that all the terms and conditions as stipulated in the SSA have been fulfilled, save for the condition precedent stipulated under Section 2.4(a), in which OSKRC has agreed to waive, at the Vendor’s request. Notwithstanding the waiver, all tax liabilities in relation to the said section remains with the Vendor.

Based on the above, the Proposed Acquisition is completed on 1 August 2025.
