META BRIGHT GROUP BERHAD ("MBGB" OR THE "COMPANY")
- PROPOSED SUBSCRIPTION OF SHARES IN BUMIDOTEARTH SDN. BHD.

The Board of Directors of MBGB ("Board") wishes to announce that Meta Bright Energy Sdn. Bhd. ("MBESB"), a wholly-owned subsidiary of MBGB had on 8 May 2026 entered into a conditional Subscription Agreement ("Subscription Agreement") with Bumidotearth, Teo Nam Jian, Travis Iran Money and Gan Chee Khong (collectively known as "Promoters") for the subscription of 105 new ordinary shares, representing approximately 51% of the enlarged issued share capital of Bumidotearth ("Subscription Shares") for a cash consideration of RM1,020,075.00 ("Subscription Consideration") ("Proposed Subscription").


Upon completion of the Proposed Subscription, Bumidotearth will become a 51%-owned indirect subsidiary of MBGB, held via MBESB.
