Reference is made to the Company's announcement on 14 March 2025 in relation to the joint venture and shareholders agreement with Stonepeak Kelvin Holdings Limited ("Announcement"). Unless otherwise stated, defined terms in this announcement shall have the same meanings as defined in the Announcement.

On 14 March 2025, the Board of Directors of KJTS ("Board") had announced that KJ Technical Services Sdn. Bhd. ("KJTS SB"), a wholly-owned subsidiary of the Company, had entered into a joint venture and shareholders agreement with Stonepeak Kelvin Holdings Limited ("Stonepeak Kelvin") ("JVS Agreement") to participate in a joint venture company to develop, upgrade, invest in and/or own cooling assets which produce chilled water for distribution to off-takers on a long-term basis for recurring income. Thereafter, on 27 March 2025 Lestari Cooling Energy Sdn. Bhd. ("Lestari") was incorporated as the joint venture vehicle.

Subsequent thereto, Kumpulan Wang Persaraan (Diperbadankan) ("KWAP") acquired 30 ordinary shares in Lestari, representing 30.0% equity interest in Lestari. Consequently, Stonepeak Kelvin, KJTS SB and KWAP wish to amend and restate the JVS Agreement.

The Board is pleased to announce that KJTS SB had, on 25 March 2026, entered into an amended and restated joint venture and shareholders agreement with Stonepeak Kelvin, KWAP and Lestari to regulate the management of Lestari, the relationship among the shareholders of Lestari, and certain aspects of the affairs of, and their dealings with Lestari.
