Unless otherwise stated, defined terms in this announcement shall carry the same meanings as defined in the previous announcements in relation to the Proposed Subscription of OS.  

The Board wishes to announce that Kawan Engineering Sdn. Bhd., a wholly owned subsidiary of Kawan Renergy Berhad and the parties to the Subscription of OS listed below

I Precision Sdn. Bhd.;

Atreon Holdings Sdn. Bhd.; and

1.         Wan Ziad Ariff 

2.         Wan Hamimie Binti Wan Ariff

3.         Wan Hidayah Ariff

4.         Wan Hilwanie Ariff

5.         Wan Huzaifah Ariff

6.         Abang Abdul Aziz Bin Abg. Mohammed

7.         Globrant Holdings Sdn Bhd (Registration No.: 200501025781(707914-W))

8.         IP Manufacturing Sdn Bhd (Registration No.: 201401009499(1085577-H))

9.         Gas Pantai Timur Sdn Bhd (Registration No.: 198001004972(58757-T))

(collectively, “Existing Shareholders”)

10.       Wan Ariff Bin Wan Hamzah

(collectively, the “Other Shareholders”)

(collectively referred to as “Parties” and individually as “Party”, as the context may require)

via the Other Shareholders’ solicitors’ written confirmation on 22 November 2024 have mutually agreed to extend the Conditional Period (as defined in the SSA) for a further one month from the expiration of 60 days from the date of agreement which is 23 November 2024, thereby extending the last day of the Extended Conditional Period to 23 December 2024 (herein referred to the “Extended Conditional Period”) to fulfil all the Conditions Precedent.

For avoidance of doubt, all other terms and conditions of the SSA remain unchanged.
