[Reference is made to the Company’s announcement made on 5 August 2025 (“Earlier Announcement”). Unless otherwise stated, all abbreviations used herein shall have the same meaning as defined in the Earlier Announcement]

Further to the Company’s announcement made on 5 August 2025, the Board of Directors of Infomina wishes to update that the Defendant had filed their response to the Plaintiff’s claim at the Regional Trial Court of Makati in the Philippines on 26 October 2025.

In their response, the Defendant denies liability even as it admits certain factual assertions critical to the Plaintiff’s claim. The Defendant is making compulsory counterclaims against the Plaintiff, and the Plaintiff has 20 days to file its defence against the Defendant’s compulsory counterclaim. The deadline falls due on 15 November 2025, which is extendible for a further 20 days until 5 December 2025.

The Defendant interposes the following compulsory counterclaims against the Plaintiff:

1. PHP173,484,152.18 (approximately RM12.30 million) or a proportionate refund of the fees it paid during the first year of the Agreement supposedly because the Defendant was forced to accept higher prices due to the inclusion of certain software products that it did not use;
2. Attorney’s fees and litigation expenses amounting to PHP10,000,000.00 (approximately RM0.71 million); and
3. An unprecedented PHP3,000,000,000.00 (approximately RM212.66 million) claim for exemplary damages.

Additionally, the Defendant has also sought to implead the following as additional defendants to its counterclaim:

1. Infomina;
2. The Plaintiff’s Board of Directors, namely, Yee Chee Meng, Tan Siang Pin, Jimmy S. Soo, Milagros E. Soriano and Nina Sarah D. Cabeza; and
3. Siow Liew Fei, Infomina’s Chief Technology Officer.

Based on legal advice, the Defendant’s attempt to implead additional defendants, including the Company, through a mere motion rather than by filing a third-party complaint, may be procedurally improper. The Plaintiff will be resisting the motion to implead additional defendants made by the Defendant and will file an opposition to the motion by the deadline, which is on 31 October 2025, or 3 November 2025 taking into account that 31 October 2025 is a non-working holiday in the Philippines.

Based on legal advice, the Plaintiff remains confident in its claim against the Defendant, as well as its defences against the counterclaim, including those addressing the unprecedented claim of PHP3,000,000,000.00 (approximately RM212.66 million) as exemplary damages.
