BURSA ANNOUNCEMENTS

On behalf of the Board of Directors of HIB (“Directors”) (“Board”), Berjaya Securities Sdn Bhd (formerly known as Inter-Pacific Securities Sdn Bhd) wishes to announce that the Company and its wholly-owned subsidiary, Hextar Fertilizers Group Sdn Bhd (“HFGSB”) had on 23 December 2025 entered into the following 2 separate conditional share sale agreements with Hextar Global Berhad (“HGB” or the “Purchaser”):-

(i)         conditional share sale agreement between the Company and HGB in relation to the proposed disposal by the Company of the entire equity interest in PK Fert Sdn Bhd to HGB for a cash consideration of RM3.30 million, subject to adjustment as provided in the agreement; and

(ii)         conditional share sale agreement between HFGSB and HGB in relation to the proposed disposal by HFGSB of the entire equity interests in Hextar Fert Sdn Bhd and PK Fertilizers Sdn Bhd to HGB for an aggregate cash consideration of RM116.70 million, subject to adjustment as provided in the agreement.

(collectively, the “Proposed Disposals”).

In addition to the Proposed Disposals, the Board proposes to undertake the proposed diversification of the existing principal activities of the Company and its subsidiaries to include the retail business of food and beverage and related activities (“Proposed Diversification”).
