Reference is made to the Company's announcement dated 12 February 2026, 12 June 2026 and 23 June 2026 in relation to the Proposed Acquisition.
On behalf of the Board, Berjaya Securities wishes to announce that the conditional share purchase agreement dated 12 February 2026 entered into between the Company and the Vendors in relation to the Proposed Acquisition (as varied and supplemented by a supplemental agreement dated 23 June 2026) ("SPA") has lapsed on 11 September 2026 as certain conditions precedent in the SPA have not been fulfilled within the Conditional Period. Accordingly, the Proposed Acquisition will not proceed.
