(I)	PROPOSED DIVERSIFICATION; AND
(II)	PROPOSED VARIATION

(COLLECTIVELY, THE "PROPOSALS")

On behalf of the Board of Directors of HexCap (“Board”), M & A Securities Sdn Bhd (“M&A Securities”) wishes to announce that the Company intends to undertake the following proposals:

(i) proposed diversification of the existing business of HexCap and its subsidiaries to include money lending business activities (“Proposed Diversification”); and

(ii) proposed variation of the utilisation of proceeds to be raised from the private placement to the current intended utilisation (“Proposed Variation”).
