The Board of Directors of CJ Century Logistics Holdings Berhad ("CJ Century" or "the Company") wishes to announce that the Company will be seeking its shareholders' approvals for the above-captioned Proposals at the forthcoming Twenty-Sixth Annual General Meeting of the Company.
Proposed Renewal of Existing Shareholders' Mandate for RRPT
The Company had, at its Twenty-Fifth Annual General Meeting held on 28 April 2022, obtained a mandate from its shareholders to enter into RRPT which are necessary for its day-to-day operations. This mandate will expire at the conclusion of the forthcoming Twenty-Sixth Annual General Meeting.
The Company proposes that a renewal of RRPT mandate be sought from its shareholders to allow the Company and/or its subsidiaries to continue to enter into some of its existing RRPT.
Proposed Renewal of Share Buy-Back Authority for the Company to Purchase its Own Shares
The Company had, at its Twenty-Fifth Annual General Meeting held on 28 April 2022, obtained approval from its shareholders to purchase its own shares up to 10% of the total number of its issued shares. This authority for share buy-back will expire at the conclusion of the forthcoming Twenty-Sixth Annual General Meeting.
The Company proposes to seek a renewal of authority from its shareholders to purchase its own ordinary shares of up to 10% of the total number of issued shares.
A Circular/Statement to Shareholders containing information on the Proposals will be made available to the Company’s shareholders in due course.
