The Board of CJ Century Logistics Holdings Berhad ("CJ Century" or "the Company") wishes to announce that the Company will be seeking its shareholders' approvals for the above-captioned Proposals at the forthcoming Annual General Meeting of the Company to be convened:-
Proposed Renewal of Shareholders' Mandate For Recurrent Related Party Transactions ("RRPT") of a Revenue or Trading Nature
The Company proposes that a renewal of RRPT mandate be sought from its shareholders to allow the Company and/or its subsidiaries to enter into RRPT of a revenue or trading nature which are necessary for its day-to-day operations. The company had, at its Annual General Meeting held on 30 April 2019, obtained the mandate from its shareholders to enter into RRPT of a revenue or trading nature. This mandate will expire at the conclusion of the forthcoming Annual General Meeting.
A Circular/Statement to the Shareholders containing information on the Proposed Renewal of RRPT Mandate will be despatched to the shareholders in due course.
Proposed Renewal of Share Buy-Back Authority for the Company to Purchase its own shares
The Company proposes to seek renewal of the authority from its shareholders to purchase its own ordinary shares of up to 10% of the total number of issued shares. The Company had, at its Annual General Meeting held on 30 April 2019, obtained the approval from its shareholders to purchase its own shares of up to 10% of the total number of issued shares. This authority for Share Buy-Back will expire at the conclusion of the forthcoming Annual General Meeting.
A Share Buy-Back Statement containing information on the Proposed Renewal of Share Buy-Back Authority will be despatched to the shareholders in due course.
