Bursa Announcements

We refer to the announcements made on the 22 May 2025, 23 May 2025, 3 June 2025 and 10 June 2025 in relation to the Proposed Private Placement (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein.

On behalf of the Board, Mercury Securities wishes to announce that Bursa Malaysia Securities Berhad (“Bursa Securities”) had vide its letter dated 19 June 2025, resolved to approve the listing and quotation of up to 111,616,200 Placement Shares to be issued pursuant to the Proposed Private Placement.

The approval granted by Bursa Securities for the Proposed Private Placement is subject to the following conditions:

(i) AHB and Mercury Securities must fully comply with the relevant provisions under the Main Market Listing Requirements of Bursa Securities (“Listing Requirements”) pertaining to the implementation of the Proposed Private Placement;

(ii) Mercury Securities is required to furnish Bursa Securities with details of the placees as per paragraph 6.15 of the Listing Requirements for Bursa Securities’ review, prior to the issuance/allotment of the Placement Shares;

(iii) Mercury Securities is required to furnish Bursa Securities with details of placees in accordance with paragraph 6.15 of the Listing Requirements as soon as practicable after each tranche of placement and before the listing of the new shares to be issued pursuant to the Proposed Private Placement;

(iv) In the event the Proposed Private Placement is not completed before the next annual general meeting, AHB is required to furnish Bursa Securities with a certified true copy of the resolution passed by the shareholders at the forthcoming annual general meeting for the authority to issue pursuant to the Companies Act, 2016 before the listing of the Placement Shares;

(v) AHB and Mercury Securities are required to inform Bursa Securities upon completion of the Proposed Private Placement; and

(vi) AHB is required to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Private Placement is completed.
