1. INTRODUCTION

3REN Berhad (“3REN” or “the Company”) wishes to announce that its wholly-owned subsidiary, Sophic Automation Sdn. Bhd. (“SA”), had on 8 May 2025 accepted a purchase order from Customer A (as defined in the Company’s Prospectus dated 9 October 2024) for a set of intelligent automated material management systems (material packing) integrated with vision inspection and robotics solution for the semiconductor manufacturer, for a contract value of RM7,138,000 (“Contract”). The Contract is expected to be fulfilled within eight (8) months.

2. RISK FACTORS

3REN does not foresee any exceptional risk other than the normal operational risks associated with the supply of products and will take the necessary steps to mitigate the risks as and when it occurs based on its past experiences and expertise.

3. FINANCIAL EFFECTS

The Contract will not have any effect on the share capital and substantial shareholders’ shareholdings of 3REN and its subsidiaries (“Group”).

The Contract is expected to contribute positively towards the future earnings and net assets of the Group for the financial year ending 31 December 2025.

4. APPROVALS REQUIRED

The Contract is not subject to the approval of the Company’s shareholders and/or any relevant regulatory authorities.

5. DIRECTORS' AND MAJOR SHAREHOLDERS' INTERESTS

None of the Directors and/or major shareholders and/or persons connected with the Directors and/or major shareholders of 3REN has any direct or indirect interest in the Contract.

6. DIRECTORS' STATEMENT

Board of Directors of the Company is of the opinion that the Contract is in the ordinary course of business and is in the best interest of the Group.
