(1) Deemed interested pursuant to Section 8 of the Companies Act 2016 by virtue of their interest in Javawana Sdn. Bhd. - Conversion of RCPS to ordinary shares by Javawana Sdn. Bhd.; 

(2) The consideration is deemed settled by way of set-off against the issue price of the RCPS; and

     RCPS - based on outstanding RCPS of 2,618,054,651 (before the subject conversion);
