We refer to the announcements dated 12 February 2020, 19 February 2020, 13 March 2020, 5 May 2020, 28 May 2020 and 3 June 2020 in relation to the Proposals (“Announcements”) as well as the Circular to Shareholders dated 6 May 2020 in relation to the Proposals. Unless otherwise stated, all definitions and terms used herein shall have the same meanings as those set out in the Announcements and the Circular.
On behalf of the Board, CIMB wishes to announce that all the Conditions Precedent to the SSPA have today been fulfilled or waived (as the case may be) and accordingly, the SSPA has become unconditional.
The listing of and quotation for the 200,000,000 Consideration Shares to be allotted and issued by CJ Century to CJ Asia, as well as completion of the Proposed Acquisition, is expected to take place by end-June 2020 and will be announced in due course.
