We refer to the announcements dated 12 February 2020 and 19 February 2020 in relation to the Proposals (“Announcements”). Unless otherwise stated, all definitions and terms used herein shall have the same meanings as those set out in the Announcements. On behalf of the Board, CIMB wishes to announce that Bursa Securities had vide its letter dated 13 March 2020 approved the listing of 200,000,000 new CJ Century Shares to be issued as consideration shares to CJ Asia pursuant to the Proposed Acquisition. The approval by Bursa Securities for the above is subject to the following conditions: (1) CJ Century and CIMB must fully comply with the relevant provisions under the Listing Requirements at all times pertaining to the implementation of the Proposed Acquisition. (2) CJ Century and CIMB to inform Bursa Securities upon completion of the Proposed Acquisition. (3) CJ Century to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Acquisition is completed. (4) CJ Century to furnish Bursa Securities with a certified true copy of the resolution passed by shareholders at the extraordinary general meeting for the Proposed Acquisition.
