(Unless otherwise stated, all abbreviations and definitions used herein shall have the same meaning as those defined in the Company’s announcement dated 21 March 2022 (“Announcement”))

We refer to the Company’s Announcement in relation to the HOA with Nylex, SBI, LBS and BTS for the Proposals.

Pursuant to the HOA dated 21 March 2022, the HOA shall terminate upon occurrence of any of the following events:

1. mutual written agreement to terminate by the Parties at any time;
2. upon execution of the Definitive Agreements, the SPA and such other documents in relation to the Proposed Venture; or
3. expiry of 12 months from the date of the HOA or such other extended period as may be mutually agreed between the Parties (“Long Stop Date”),

whichever is the earliest.

The Company wishes to announce that the Parties have agreed to extend the Long Stop Date by another three (3) months to 21 June 2023.

Save for the above, all other terms and conditions of the HOA remain unchanged.
